SECRET SENSE LLC — TERMS & CONDITIONS

These Terms & Conditions (“Agreement”) govern the relationship between Secret Sense LLC, a New Mexico limited liability company, acting through Eniko Kolic, an independent travel advisor affiliated with Fora Travel, Inc. (“Secret Sense,” “Travel Advisor,” “we,” “us,” or “our”), and the purchaser of Secret Sense planning services and/or lead traveler (“Client,” “Purchaser,” or “you”).

By purchasing Secret Sense planning services, submitting payment, signing or electronically accepting this Agreement, or otherwise instructing Secret Sense to begin providing services, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

1. USE OF SECRET SENSE SERVICES

You represent and warrant that:

a. You are at least 18 years of age and legally authorized to enter into this Agreement and, where applicable, authorize travel arrangements for yourself and/or other travelers;

b. All information you provide to Secret Sense, whether for yourself or on behalf of another traveler, is complete, accurate, and current;

c. You will promptly advise Secret Sense of any material changes to information previously provided;

d. You will comply with this Agreement and with the applicable terms and conditions of any travel supplier, booking platform, payment processor, or other third party involved in your travel arrangements; and

e. Where you provide information or make decisions on behalf of another traveler or gift recipient, you are authorized to do so.

2. SECRET SENSE AND FORA TRAVEL

Secret Sense LLC operates a separate travel-planning business through Eniko Kolic, who is an independent travel advisor affiliated with Fora Travel, Inc. (“Fora”).

You understand and agree that:

a. Secret Sense and/or Eniko Kolic may use Fora's advisor infrastructure, booking systems, supplier relationships, technology, payment processing, and other resources in connection with travel arrangements;

b. Secret Sense LLC is a separate business and Fora is not a party to this Agreement;

c. Fora is a host agency and technology provider and is not the provider of the Secret Sense planning services purchased under this Agreement;

d. Accommodations, flights, transportation, activities, tours, dining reservations, and other travel services are provided by independent third-party suppliers;

e. Nothing in this Agreement makes Fora responsible for Secret Sense's separate planning services; and

f. Client will not assert claims against Fora for losses or damages arising solely from Secret Sense's independent planning services, except to the extent otherwise required by applicable law or arising from services separately provided by Fora.

3. SECRET SENSE PLANNING SERVICES

Secret Sense provides personalized travel-planning and advisory services.

Depending on the selected planning tier, services may include destination curation, accommodation research and recommendations, experience curation, dining recommendations, maps, itinerary development, transportation and flight research, booking assistance, pre-departure information, physical reveal materials, and other planning services expressly included in the selected tier.

Secret Sense provides planning and advisory services under this Agreement. Individual travel components are selected, approved, and booked separately and remain subject to the terms and conditions of the applicable independent supplier.

4. PLANNING TIERS AND SCOPE OF SERVICE

The specific services included in the Client’s purchase are determined by the selected Secret Sense planning tier and will be described on the Secret Sense website, Travel Brief, invoice, service confirmation, or other written communication provided to the Client.

Only services expressly included in the selected tier or subsequently agreed in writing are included in the planning fee.

Services requested outside the agreed scope may be subject to an additional planning, revision, replanning, or other service fee.

5. PLANNING FEES

a. Secret Sense charges a planning fee for its professional planning services. The applicable planning fee will be disclosed to the Client before substantive planning work begins.

b. Planning fees compensate Secret Sense for professional time, research, creative concept development, destination and supplier research, curation, administration, itinerary development, communications, and other planning services.

c. Planning fees are non-refundable except where the Client expressly qualifies for a refund under the Secret Sense Satisfaction Guarantee set out in Section 9 of this Agreement or where a refund is otherwise required by applicable law.

d. Payment of the planning fee is due before Secret Sense begins substantive planning work unless otherwise agreed in writing.

e. Once substantive planning work has commenced, twenty-five percent (25%) of the planning fee is considered earned and non-refundable as compensation for research, consultation, concept development, administration, and professional services already undertaken.

f. The remaining seventy-five percent (75%) may become refundable only where every requirement of the Satisfaction Guarantee in Section 9 is satisfied.

6. INTAKE QUESTIONNAIRE AND TRAVEL BRIEF

Secret Sense's planning process relies on the Client providing accurate and complete information about the traveler and the desired trip.

The Intake Questionnaire is used to collect the Client's initial preferences, requirements, budget, restrictions, traveler information, and other details relevant to the planning process.

Information requested may include, where relevant:

  • travel dates and flexibility;

  • budget;

  • preferred or excluded regions, environments, or destination characteristics;

  • acceptable travel distance or flight duration;

  • climate preferences;

  • accommodation preferences;

  • preferred atmosphere and travel style;

  • dietary restrictions and allergies;

  • accessibility or mobility requirements;

  • activity restrictions;

  • fears or phobias relevant to activities or destinations;

  • physical limitations voluntarily disclosed because they affect travel planning;

  • transportation preferences;

  • room requirements;

  • flight preferences;

  • passport or nationality considerations known to the Client;

  • religious, cultural, dietary, or personal requirements relevant to the requested arrangements;

  • interests, dislikes, and non-negotiables; and

  • any other preference or circumstance that could materially affect the suitability of the proposed trip.

After reviewing the Intake Questionnaire, Secret Sense will prepare a Travel Brief summarizing the material information and parameters that will guide the planning process.

The Client will have an opportunity to review the Travel Brief and request corrections or amendments before confirming it.

The Client is responsible for carefully reviewing the Travel Brief and identifying any material information that is incorrect, incomplete, or missing.

Once confirmed by the Client, the Confirmed Travel Brief becomes the agreed basis on which Secret Sense will perform the planning service.

Secret Sense is entitled to rely on both the information supplied in the Intake Questionnaire and the Confirmed Travel Brief.

The Travel Brief may also contain or accompany the applicable planning-fee invoice and other information relating to the purchased planning service.

7. PROPOSALS, CONFIRMATIONS, AND CLIENT APPROVALS

Following confirmation of the Travel Brief and payment of the applicable planning fee, Secret Sense will develop the travel concept in accordance with the Client's selected service and planning tier.

The method by which the travel concept is presented will depend on whether the Client has selected The Secret Experience or Gift a Surprise, and on the applicable Surprise Level.

7.1 The Secret Experience

For The Secret Experience, the destination is revealed through the Reveal Package.

For planning tiers that do not include a customizable Surprise Level, the travel concept is presented at the same time as the destination reveal.

Where the selected planning tier includes a customizable Surprise Level, certain travel elements may remain concealed after the destination reveal and will be disclosed in accordance with the Client’s selected Surprise Level.

During the planning process, the Client may still be asked to review and approve budgets, booking conditions, or other information necessary to authorize travel arrangements without Secret Sense disclosing elements intended to remain part of the surprise.

The digital proposal may contain the destination, accommodation, curated experiences, itinerary information, recommendations, practical details, pricing, and other elements included in the selected planning tier, subject to the applicable Surprise Level.

7.2 Gift a Surprise

For Gift a Surprise, the Purchaser will receive a Private Proposal before the reveal so that the Purchaser can review the proposed journey, request applicable changes, and provide the approvals or authorizations required to proceed.

The Private Proposal is prepared for the Purchaser. The Purchaser may choose whether to keep it confidential or share some or all of it with the Recipient, depending on the intended level of surprise.

Once the required approvals have been provided and the planning process is complete, the Recipient's journey will be presented through the applicable Reveal Package and digital reveal materials in accordance with the selected Surprise Level.

7.3 Confirmation Forms and Approvals

Throughout the planning process, Secret Sense may use confirmation forms, email, electronic approval, or other documented written communications to obtain Client decisions.

The Client may be asked to:

a. confirm that Secret Sense has correctly understood information contained in the Confirmed Travel Brief;

b. request reasonable amendments or refinements;

c. approve proposed budgets or expenditure;

d. authorize supplier bookings;

e. select or confirm an applicable Surprise Level;

f. approve travel elements without receiving information that is intentionally being concealed as part of the surprise;

g. confirm progression to the next stage of the planning process; or

h. provide other information or authorization reasonably required to complete the service.

Secret Sense is entitled to rely on confirmations, selections, approvals, and authorizations supplied by the Client or Purchaser through these methods.

Where the Client has selected a service involving concealed travel elements, approval of an expenditure, booking, or planning decision does not require Secret Sense to disclose information that the Client has agreed will remain secret, provided the Client is given the information reasonably required to understand and authorize the applicable financial commitment.

8. REVISIONS AND CHANGES TO THE CONFIRMED TRAVEL BRIEF

Each Secret Sense planning tier includes a specified number of complimentary revisions.

A Revision means a substantial redesign or reconsideration of part or all of the travel concept after Secret Sense has presented it, where the requested redesign remains consistent with the Client's Confirmed Travel Brief.

Routine changes, amendments, and reasonable refinements requested through the normal confirmation process do not constitute a Revision unless they require substantial redesign work.

A Revision does not include substantial replanning caused by the Client materially changing the information or instructions on which Secret Sense originally relied.

Examples of material changes may include:

a. materially changing destination-related preferences or parameters after confirming the Travel Brief, including geographic exclusions, climate preferences, travel-distance limitations, or other requirements that require Secret Sense to reconsider the destination selection;

b. materially changing the travel budget;

c. changing travel dates in a way that requires significant new research or redesign;

d. adding or removing travelers in a way that materially affects the planning;

e. introducing major preferences, restrictions, requirements, or non-negotiables that were not disclosed in the Intake Questionnaire or before confirmation of the Travel Brief;

f. changing the fundamental style, purpose, priorities, or desired character of the trip; or

g. requesting a substantially different concept after Secret Sense has delivered a concept that reasonably reflects the Confirmed Travel Brief.

Secret Sense may accommodate a material change to the Confirmed Travel Brief subject to an additional revision or replanning fee.

Any such fee will be disclosed to the Client and must be approved before the additional work begins.

A Client may not rely on the Satisfaction Guarantee merely because the Client later changes their mind about information, preferences, requirements, parameters, or instructions that the Client previously provided, confirmed, or approved.

Where Secret Sense has delivered a concept that reasonably reflects the Confirmed Travel Brief and the Client subsequently requests a materially different direction, Secret Sense may offer further redesign or replanning for an additional fee.

9. SATISFACTION GUARANTEE

Secret Sense voluntarily offers a limited Satisfaction Guarantee in relation to its planning services.

The Satisfaction Guarantee is an exception to the general rule that planning fees are non-refundable.

It is intended to provide the Client with additional reassurance if, after Secret Sense has been given a genuine opportunity to revise the concept within the parameters of the Confirmed Travel Brief, the planning service still does not reasonably reflect what was agreed.

9.1 Eligibility

To qualify for a Satisfaction Guarantee refund, all of the following conditions must be satisfied:

a. The Client must have provided complete and accurate information in the Intake Questionnaire and reviewed and confirmed the Travel Brief;

b. The Client must have used all complimentary revisions included in the selected planning tier and given Secret Sense a reasonable opportunity to address the Client’s stated concerns;

c. After receiving the final complimentary revision, the Client must still reasonably believe that the final concept does not reflect the Confirmed Travel Brief;

d. The refund request must be submitted in writing to eniko@secretsense.co within three (3) business days after the Client receives the final complimentary revision;

e. The refund request must be submitted at least thirty (30) calendar days before the scheduled commencement of travel;

f. No supplier booking forming part of the applicable travel concept may have been confirmed or purchased following Client authorization; and

g. The Client must not have finally approved the concept or proceeded with bookings based on it.

The Satisfaction Guarantee is available only where the above eligibility conditions are met.

9.2 Refund Amount

Where the Client validly qualifies for the Satisfaction Guarantee, Secret Sense will refund seventy-five percent (75%) of the planning fee.

The remaining twenty-five percent (25%) of the planning fee is earned and non-refundable as compensation for professional services already performed.

The following amounts are also excluded from any Satisfaction Guarantee refund to the extent they have already been incurred, committed, or earned:

a. the applicable Reveal Package Cost;

b. printing, personalization, production, procurement, or physical-material costs;

c. shipping, postage, courier, customs, or delivery costs;

d. rush or expedited-service fees;

e. additional revision or replanning fees;

f. third-party supplier payments; and

g. any other third-party cost incurred with the Client's authorization.

9.3 Matters Not Covered by the Satisfaction Guarantee

The Satisfaction Guarantee does not apply where dissatisfaction arises from:

a. a change in the Client’s preferences, circumstances, budget, dates, traveler details, or requirements after confirmation of the Travel Brief;

b. inaccurate, incomplete, or omitted information provided by the Client, including information the Client had an opportunity to correct when reviewing the Travel Brief;

c. an element that reasonably reflects a preference, instruction, or requirement previously provided or approved by the Client;

d. supplier availability, pricing, cancellations, service quality, operational changes, or other third-party circumstances;

e. weather, governmental action, transportation disruption, force majeure, travel-documentation issues, or other circumstances outside Secret Sense’s reasonable control; or

f. the Client’s decision or inability to travel.

Where dissatisfaction results from a material preference, restriction, or requirement that the Client failed to provide before confirming the Travel Brief, the Client will not be entitled to a Satisfaction Guarantee refund on that basis.

Secret Sense may instead offer additional redesign or replanning services for an additional fee.

The Satisfaction Guarantee applies solely to Secret Sense's planning services. It is not a guarantee of the availability, price, performance, quality, suitability, or outcome of independent third-party travel services after they have been approved or booked.

10. SURPRISE TRAVEL

A defining feature of Secret Sense is the intentional withholding of selected travel information in order to create a surprise experience. For Secret Sense surprise-planning services, the destination itself is revealed through the Reveal Package and is not disclosed beforehand, unless earlier disclosure becomes necessary for legal, safety, operational, or other circumstances described in this Agreement.

Depending on the service and planning tier purchased, information that may intentionally remain concealed may include:

  • accommodation identity;

  • experiences or activities;

  • restaurants;

  • itinerary details;

  • transportation details;

  • scheduled activities;

  • supplier names; and

  • other selected journey elements.

The fact that certain information is intentionally concealed is an agreed feature of the Secret Sense service.

Intentional withholding of information in accordance with the applicable service and the Client's selections does not constitute nondisclosure, misrepresentation, or failure to perform the planning service.

11. CUSTOMIZABLE SURPRISE LEVELS

Where the selected planning tier includes a customizable Surprise Level, the Client will select or approve their preferred degree of disclosure during the planning process.

The applicable Surprise Level determines which travel elements Secret Sense is authorized to conceal and when those elements will be disclosed.

The Client's selected Surprise Level may be recorded in the Intake Questionnaire, Travel Brief, Private Proposal, confirmation form, approval form, or another written Secret Sense communication.

By selecting or approving a Surprise Level, the Client expressly authorizes Secret Sense to withhold the corresponding information until the agreed reveal stage. Where individual experiences or activities remain concealed, they will ordinarily be disclosed on the day of the specific activity, unless otherwise requested or agreed in writing.The Surprise Level affects what information is disclosed to the Client. It does not remove the Client's financial control over chargeable supplier arrangements.

Where operationally necessary, Secret Sense may disclose information that would otherwise remain concealed where:

a. disclosure is necessary for health or safety;

b. disclosure is reasonably required for legal, immigration, insurance, accessibility, or documentation reasons;

c. a supplier requires the Traveler to know or complete something directly;

d. the Client requests disclosure; or

e. circumstances make continued concealment impracticable.

12. CLIENT CONTROL AND BOOKING AUTHORIZATION

The surprise nature of Secret Sense does not authorize Secret Sense to incur chargeable supplier costs without the Client's approval.

The Client remains in control of financial commitments throughout the planning and booking process.

Except where the Client has expressly provided advance written authorization within an agreed budget, spending limit, or other clearly defined parameters, Secret Sense will obtain Client authorization before making a chargeable supplier booking.

Where revealing the exact supplier, experience, activity, or other element would compromise the applicable Surprise Level, Secret Sense may request authorization without revealing the underlying surprise.

For example, Secret Sense may identify an item as a “Curated Experience” and provide the price and relevant booking terms without revealing the exact nature of the experience.

Before requesting authorization for a concealed chargeable element, Secret Sense may provide information reasonably necessary for informed financial approval, including where applicable:

  • price;

  • taxes or mandatory fees;

  • applicable cancellation terms;

  • whether the booking is refundable or non-refundable;

  • payment deadline;

  • date or general timing where required;

  • relevant restrictions or conditions; and

  • other material financial or contractual booking terms.

The Client may authorize Secret Sense to proceed while agreeing that the identity or nature of the surprise remains concealed.

Such authorization constitutes valid authorization to arrange or facilitate the corresponding supplier booking notwithstanding that selected surprise details have not been disclosed.

Authorization may be documented through a confirmation form, booking authorization form, email, client portal, electronic approval, written message, or another documented method accepted by Secret Sense.

13. CLIENT RESPONSIBILITY FOR SURPRISE TRAVEL

Because certain travel information may intentionally remain concealed, the Client accepts additional responsibility for communicating any information that could reasonably make a recommendation or concealed booking unsuitable.

The Client must disclose material requirements, restrictions, exclusions, fears, allergies, accessibility needs, mobility limitations, activity limitations, or other relevant information through the Intake Questionnaire and Travel Brief process.

Secret Sense is entitled to rely on the information supplied and confirmed by the Client.

Secret Sense will not be responsible where an otherwise reasonable recommendation proves unsuitable because of material information that the Client failed to disclose or correct before confirming the Travel Brief.

If previously undisclosed information requires Secret Sense to redesign part or all of the trip, such work may be treated as additional revision or replanning work and may be subject to an additional fee.

14. GIFT A SURPRISE

Where Secret Sense services are purchased as a gift, the person purchasing the service (“Purchaser”) may be different from the person traveling (“Traveler” or “Recipient”).

Unless otherwise agreed in writing, the Purchaser is the contracting Client.

The Purchaser is responsible for:

a. completing or coordinating completion of the Intake Questionnaire;

b. providing accurate and sufficiently complete information about the Recipient;

c. communicating relevant dietary, accessibility, mobility, activity, destination, accommodation, or other material requirements;

d. ensuring that they are authorized to provide personal information about the Recipient where required;

e. reviewing and confirming the Travel Brief;

f. requesting amendments during the planning process where appropriate;

g. approving expenditure and supplier bookings where required;

h. selecting or approving the applicable Surprise Level;

i. ensuring that the Traveler receives any information that must legally, practically, or safely be disclosed before travel; and

j. complying with payment obligations under this Agreement.

Unless otherwise agreed in writing, the Purchaser's confirmations and approvals control the planning process and the Satisfaction Guarantee.

A Recipient's later dissatisfaction does not create an independent right to a Satisfaction Guarantee refund where the Purchaser provided or confirmed the relevant information or approved the applicable planning concept.

Secret Sense is entitled to rely on information supplied by the Purchaser when planning for a Recipient.

Where material Recipient information was not disclosed and additional redesign becomes necessary, Secret Sense may charge an additional revision or replanning fee.

15. REVEAL PACKAGE

Secret Sense will prepare and arrange delivery of a physical Reveal Package as part of every planning tier.

The reveal package may contain customized, personalized, printed, assembled, or specially procured materials and therefore involves non-recoverable production costs.

The applicable Reveal Package Cost will be disclosed to the Client in the invoice, service confirmation, or other written communication before the relevant cost becomes payable or non-refundable.

Once Secret Sense has ordered, procured, printed, personalized, produced, or assembled the reveal package, or otherwise committed to non-recoverable production costs, the applicable Reveal Package Cost becomes non-refundable.

Reveal Packages are non-returnable. Returning or attempting to return a Reveal Package does not restore, increase, or otherwise affect any refund available under the Satisfaction Guarantee, and no refund will be issued for Reveal Package costs once those costs have become non-refundable under this Agreement.

The Reveal Package Cost is separate from shipping and delivery charges.

16. SHIPPING AND DELIVERY

Where physical materials are shipped to the Client or Recipient:

a. shipping, courier, postage, customs, duties, import charges, express delivery, and other delivery-related expenses may be charged separately;

b. applicable shipping costs will be disclosed before they are charged wherever reasonably practicable;

c. shipping and delivery costs already incurred are non-refundable;

d. Secret Sense is not responsible for delays, losses, customs processing, courier disruptions, failed delivery caused by inaccurate Client information, or other delivery events outside Secret Sense's reasonable control;

e. estimated delivery dates are not guaranteed unless expressly stated otherwise; and

f. the Client is responsible for providing an accurate and deliverable shipping address.

17. RUSH AND EXPEDITED SERVICES

Secret Sense recommends that Clients begin the planning process within the lead times stated for the applicable planning tier.

Where Secret Sense agrees to accept a booking or additional work requiring completion on an expedited basis, a Rush Fee may apply.

Any Rush Fee will be disclosed to the Client and must be approved before the Client becomes obligated to pay it and before the applicable rush service begins.

A Rush Fee compensates Secret Sense for accelerated planning, scheduling, prioritization, administration, production, or other work required to meet a shortened timeline.

Rush Fees are non-refundable once the applicable rush services have commenced, except where otherwise required by applicable law.

Payment of a Rush Fee does not guarantee supplier availability, particular prices, shipping performance, or any outcome outside Secret Sense's reasonable control.

18. SUPPLIERS AND CLIENT RESPONSIBILITY

Secret Sense may research, recommend, arrange, or facilitate reservations with independent third-party travel suppliers.

The suppliers identified in applicable booking or travel documentation are the entities actually responsible for providing the purchased travel services.

Suppliers may include hotels, airlines, transportation providers, tour operators, activity providers, restaurants, booking platforms, and other travel-related businesses.

Each supplier is an independent entity and is not controlled by Secret Sense.

Secret Sense does not guarantee:

a. supplier rates;

b. continued availability;

c. supplier service quality;

d. fulfillment of special requests;

e. operational performance;

f. supplier financial stability; or

g. any supplier's continued operation.

Secret Sense is not responsible for changes, delays, cancellations, modifications, closures, failures, or other acts or omissions of independent suppliers outside Secret Sense's reasonable control.

19. TRAVEL BOOKINGS

19.1 Rates and Availability

Unless otherwise indicated, quoted prices are stated in U.S. dollars.

Supplier pricing is subject to change without notice.

Many suppliers use dynamic pricing. Prices and availability cannot be guaranteed until the applicable service has been booked and any required payment or deposit has been received.

19.2 Currency Fluctuations

The Client acknowledges that exchange-rate fluctuations may affect the final amount payable for travel services charged in currencies other than U.S. dollars.

19.3 Booking Confirmation

All bookings remain subject to supplier availability and confirmation.

A recommendation, quotation, itinerary entry, Private Proposal entry, or other planning recommendation does not constitute a confirmed reservation unless Secret Sense or the applicable supplier expressly confirms the booking.

19.4 Personal Information

The Client authorizes Secret Sense to use and transmit personal information reasonably necessary to research, request, arrange, or book authorized travel services.

This may include information required for accommodations, airfare, transportation, tours, activities, restaurants, and other requested services.

19.5 Payment for Travel Services

Travel services may be paid directly to the applicable supplier or, where appropriate, through Fora or another authorized payment channel.

Supplier payments are separate from Secret Sense planning fees.

19.6 Credit Card Authorization

Where the Client provides or keeps a payment card on file, Secret Sense may use that card only for travel services and associated amounts expressly authorized by the Client.

The Client represents that they are an authorized user of any payment method supplied.

Authorization may be provided through email, electronic approval, booking authorization form, client portal, confirmation form, written message, or another documented method accepted by Secret Sense.

For concealed surprise elements, authorization provided in accordance with Section 12 is sufficient even where the exact identity of the supplier or experience remains intentionally concealed.

20. DISPUTES AND CHARGEBACKS

The Client agrees not to initiate a payment dispute or chargeback solely to avoid valid planning fees, authorized supplier charges, cancellation terms, modification fees, or other contractual obligations.

If the Client believes that a service has not been provided as agreed, the Client agrees to contact Secret Sense promptly at eniko@secretsense.co and provide Secret Sense with a reasonable opportunity to investigate and assist with resolution.

Nothing in this provision prevents the Client from exercising rights that cannot lawfully be waived.

21. INDEPENDENT TRAVEL ARRANGEMENTS

Secret Sense is not responsible for costs, penalties, missed connections, incompatibilities, or other consequences arising from travel arrangements made independently by the Client or another person outside Secret Sense's planning or booking process.

The Client is responsible for ensuring that independently arranged travel services are compatible with the Secret Sense itinerary and other confirmed arrangements.

22. NON-REFUNDABLE BOOKINGS, MODIFICATIONS, AND CANCELLATIONS

The Client is subject to the deposit, cancellation, modification, credit, refund, and other terms imposed by each applicable travel supplier.

The Client is responsible for reviewing and accepting applicable supplier terms before authorizing a booking.

Where reasonably practicable, the Client must provide Secret Sense with at least forty-eight (48) hours' notice by email for requests that require Secret Sense to attempt to modify or cancel a supplier booking.

Secret Sense is not responsible for penalties caused by late Client instructions.

Any supplier, administrative, transaction, or other costs incurred by Secret Sense as a result of a Client-requested cancellation or modification may be passed on to the Client.

23. TRAVEL INSURANCE

Travel insurance is not included unless expressly stated and separately purchased.

Secret Sense strongly recommends that travelers consider appropriate travel insurance.

Travel insurance may provide protection in relation to supplier issues, cancellations, travel delays, medical emergencies, lost baggage, interruption, and other unexpected events, depending on the policy purchased.

The Client is responsible for reviewing policy coverage, exclusions, conditions, and claim requirements.

Where the Client chooses not to purchase appropriate insurance, the Client accepts the financial risks associated with supplier cancellation penalties and other uninsured travel losses.

24. PASSPORTS, VISAS, IDENTIFICATION, AND ENTRY REQUIREMENTS

The Client and each Traveler are solely responsible for determining and satisfying all passport, visa, immigration, vaccination, entry, transit, identification, and other governmental requirements applicable to the trip.

Traveler names used for reservations must match applicable identification and travel documents.

Secret Sense is not responsible for denied boarding, denied entry, deportation, immigration issues, documentation errors supplied by the Client, or financial loss arising from a Traveler's failure to satisfy applicable requirements.

Being denied entry or boarding does not create a right to a refund from Secret Sense.

25. TRAVELING WITH MINORS

The Client is responsible for determining and obtaining all documentation, permissions, consent letters, identification, visas, and other requirements applicable to minors traveling domestically or internationally.

26. TRAVEL ADVISORIES AND DESTINATION RISK

Travel may involve health, safety, political, environmental, transportation, or other risks.

The Client is responsible for reviewing applicable government travel advisories and entry information before travel.

A new or changed travel advisory, personal concern, anxiety, discomfort, or change of mind does not automatically entitle the Client to a refund of Secret Sense planning fees or supplier payments.

Secret Sense does not represent that any destination is free from risk.

27. CHANGES AFTER FINAL APPROVAL OR BOOKING

Travel is inherently subject to change.

After the Client approves the final concept or supplier bookings are made, circumstances may arise that require amendments.

These may include:

  • supplier cancellations;

  • hotel changes;

  • airline changes;

  • restaurant closures;

  • schedule changes;

  • weather;

  • strikes;

  • government restrictions;

  • transportation disruptions;

  • price increases;

  • operational changes; or

  • other events outside Secret Sense's reasonable control.

Such circumstances do not constitute failure of Secret Sense's planning service and do not activate the Satisfaction Guarantee.

Where the selected planning tier includes assistance with post-booking changes or travel disruptions, Secret Sense will make reasonable efforts to assist within the scope of that service.

Secret Sense cannot guarantee that an equivalent replacement, identical price, specific supplier, or particular outcome will be available.

28. LIABILITY; THIRD-PARTY SERVICES

Secret Sense acts as an advisor, arranger, and/or authorized seller in connection with independent travel suppliers and does not control their operations.

Secret Sense is therefore not responsible for personal injury, property damage, financial loss, supplier negligence, supplier misconduct, supplier service failure, cancellation, bankruptcy, closure, schedule change, refund policy, price change, or other acts or omissions of independent suppliers except to the extent liability cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Secret Sense disclaims liability for indirect, incidental, special, exemplary, or consequential damages arising from third-party travel services.

Nothing in this Agreement is intended to exclude liability that cannot lawfully be excluded.

29. FORCE MAJEURE

Secret Sense will not be liable for failure or delay in fulfilling obligations caused by circumstances beyond its reasonable control.

Such events may include natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, strikes, transportation disruption, supplier failure, equipment or technology failure, governmental action, border closure, power failure, or other unforeseeable or unavoidable events.

Where possible, Secret Sense may provide reasonable assistance in adjusting plans, but such assistance does not create an obligation to absorb third-party costs or provide refunds outside the terms of this Agreement.

30. COMMUNICATIONS AND RESPONSE TIMES

The Client agrees to monitor the email address and other communication channels provided to Secret Sense.

Travel prices and availability can be time-sensitive.

Secret Sense is not responsible for lost availability, price changes, missed payment deadlines, booking consequences, or other losses caused by the Client's failure to respond to time-sensitive approval, authorization, or payment requests.

31. MODIFICATIONS TO THESE TERMS

Secret Sense may update these Terms & Conditions from time to time.

Unless otherwise required by applicable law, changes will apply prospectively.

The terms applicable to an existing Client engagement will be the version accepted by the Client unless the parties expressly agree otherwise in writing.

32. GOVERNING LAW AND VENUE

This Agreement will be governed by the laws of the State of New Mexico, without regard to conflict-of-law principles, except to the extent mandatory law provides otherwise.

To the extent legally permitted, the Client consents to the exclusive jurisdiction and venue of the state and federal courts located in Albuquerque, New Mexico for disputes arising out of or relating to this Agreement or Secret Sense's planning services.

33. THIRD-PARTY BENEFICIARIES

Except where expressly stated otherwise, this Agreement is for the benefit of Secret Sense and the Client and their respective permitted successors and assigns.

No other person or entity is intended to obtain rights or remedies under this Agreement solely because they are mentioned in connection with the trip.

34. CLAIMS

To the extent permitted by applicable law, any claim arising from Secret Sense's planning services must be brought within twelve (12) months following completion of the applicable trip or termination of the planning engagement, whichever occurs first.

To the maximum extent permitted by applicable law, claims must be brought individually and not as part of a class, collective, or representative proceeding.

35. SEVERABILITY

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

The affected provision will be interpreted or modified only to the extent necessary to make it enforceable while preserving its intended purpose as closely as possible.

36. HEADINGS

Section titles and headings are included solely for convenience and do not affect interpretation of this Agreement.

37. ENTIRE AGREEMENT

This Agreement, together with the Client's selected planning tier, Intake Questionnaire, Confirmed Travel Brief, Private Proposal, confirmation forms, written booking authorizations, applicable Surprise Level selection, invoice, and any written amendments agreed by the parties, constitutes the agreement between Secret Sense and the Client concerning the services described.

If there is a conflict between this Agreement and a later written amendment expressly agreed by both parties, the later written amendment will control with respect to that specific matter.

38. ELECTRONIC ACCEPTANCE

Electronic acceptance has the same effect as a handwritten signature.

By typing their name, checking an acceptance box, electronically signing, submitting payment after being presented with these Terms, or otherwise expressly agreeing to them, the Client confirms that they have read, understood, and accepted this Agreement.
